1. Definitions & Legal Entity
1.1 These Terms and Conditions (“Terms”) apply to all services provided by Kalam Hussain trading as KHC Group (“we”, “us”, “our”).
1.2 KHC Group operates as a sole trader. Any internal or legacy trading names are not separate legal entities.
1.3 All contracts, invoices, liabilities, and legal matters are entered into solely with Kalam Hussain t/a KHC Group.
2. Acceptance & Contract Formation
2.1 These Terms are made available via our website and may be referenced or linked in proposals, quotations, booking forms, invoices, payment links, emails, messaging platforms, and contact forms.
2.2 A legally binding agreement is formed when you:
Submit a contact or enquiry form
Tick or acknowledge acceptance of these Terms
Make any payment
Confirm a booking
Accept a proposal
Instruct us to begin work
Provide access or assets
Continue to engage with our services after being directed to these Terms
2.3 By taking any of the above actions, you confirm that you have had a reasonable opportunity to read, understand, and accept these Terms.
2.4 Submission of any contact, enquiry, application, or onboarding form constitutes express acceptance of these Terms.
2.5 If you do not agree, you must not submit any form, make any payment, or engage our services.
3. Client Classification
3.1 These Terms distinguish between:
Business Clients (B2B)
Consumers (B2C)
3.2 Certain clauses apply only to Business Clients.
3.3 Consumer statutory rights are not limited.
4. Services & Scope
4.1 We provide growth, creative, and advertising services including but not limited to:
Videography and editing
Graphic design and branding
Creative production
Website funnels and landing pages
CRM and automation integration
Meta Ads management
Google Ads management
Campaign strategy and optimisation
AI and sales system support
One-off production services
4.2 The exact scope is defined in writing via plan, proposal, or invoice.
4.3 Anything not expressly agreed in writing is excluded.
5. Creative Plan Memberships
5.1 Creative Plans operate as monthly retainers and are not pay-as-you-go services.
5.2 Each Creative Plan includes a fixed allocation of creative credit calculated at the member trade rate of £40 per hour.
5.3 Creative credit:
Has no cash value
Is not a deposit
Is non-refundable
Is non-transferable
Cannot be exchanged or resold
5.4 The standard retail production rate is £60 per hour.
5.5 Where a client’s production requirements exceed their included creative credit, any additional work is charged at the standard retail rate of £60 per hour and invoiced separately, unless expressly agreed otherwise in writing.
5.6 Discounted member rates apply only to the included monthly creative credit and do not apply to excess usage.
5.7 Unused creative credit does not roll over and is forfeited unless agreed in writing.
6. Minimum Commitment, Renewal & Cancellation
6.1 All Creative and Campaign Plans operate on rolling three (3) month minimum terms.
6.2 Each term renews automatically.
6.3 Cancellation requires:
A minimum of 30 days written notice
Provided before the final month of the current cycle
Example: For March–May, notice must be given by 31 March.
6.4 Failure to provide valid notice results in renewal.
6.5 Downgrades are not permitted mid-cycle. Upgrades take effect immediately and are billed accordingly.
6.6 Early termination does not release payment obligations.
7. Additional Production & Hourly Services
7.1 Out-of-scope work is billed separately.
7.2 Rates:
Standard: £60/hour
Member credit rate: £40/hour (credit only)
7.3 Rates may vary based on complexity, urgency, or location.
8. Deposits
8.1 Deposits may be required to secure bookings.
8.2 Deposits are non-refundable.
9. Campaign Services (Meta & Google)
9.1 We provide campaign strategy and management for:
Meta (Facebook & Instagram)
Google Ads (Search, Display, Performance Max, YouTube where applicable)
9.2 Campaigns operate on client-owned accounts.
9.3 Ad spend is paid directly to platforms and is not included.
9.4 We do not guarantee leads, conversions, sales, or revenue.
9.5 Results depend on multiple external factors including:
Offer quality
Budget
Competition
Market conditions
Sales process
Seasonality
Lead handling
9.6 Attribution and reporting are estimates and may differ across platforms.
10. Access, Billing & Platform Compliance
10.1 Clients must provide and maintain admin access to required platforms.
10.2 Clients are responsible for billing, verification, and compliance.
10.3 Account suspensions are not our liability.
10.4 Reinstatement support may be billable.
11. Lead Handling & Client Responsibilities
11.1 Clients must follow up leads promptly.
11.2 Delayed or poor follow-up may affect results.
11.3 We are not liable for lost opportunities caused by client-side handling.
12. Exclusivity & Cooperation (B2B Only)
12.1 Clients must not engage competing providers for overlapping services without consent.
12.2 Breach constitutes material breach.
13. Intellectual Property (B2B Only)
13.1 We retain ownership of all strategies, systems, frameworks, and working files.
13.2 Clients receive a non-exclusive licence for final paid deliverables only.
13.3 Replication, reverse-engineering, or redistribution is prohibited.
14. Websites, Funnels & Digital Systems
14.1 Provided as creative services.
14.2 No performance guarantees are given.
14.3 Clients are responsible for compliance and hosting.
14.4 We are not liable for third-party failures.
15. Third-Party Tools & Subscriptions
15.1 We may use external software and platforms.
15.2 Subscription costs are payable by clients unless agreed.
16. Payments, Refunds & Chargebacks
16.1 Payments are processed via Stripe or agreed methods.
16.2 Klarna is permitted for one-off services only.
16.3 All plans and retainers are non-refundable.
16.4 Unauthorised chargebacks constitute breach.
16.5 Dispute handling time may be billed.
17. Communication & Support
17.1 Support depends on plan level.
17.2 WhatsApp does not imply 24/7 access.
17.3 We may limit communication for unreasonable conduct.
18. Revisions & Approvals
18.1 Revisions are limited to scope.
18.2 Approved work is deemed accepted.
18.3 Additional revisions are chargeable.
19. Weddings & Events (If Applicable)
19.1 Event services are separate.
19.2 Rates apply per crew member.
19.3 Coverage is best-effort.
20. Technical Failure & Data Loss
20.1 Technical failures may occur.
20.2 File retention is not guaranteed.
20.3 Liability is limited to reshoot or refund.
21. Contractors
21.1 Subcontractors may be engaged.
21.2 Contractors are not employees.
22. Non-Disparagement & Non-Solicitation
22.1 False statements are prohibited.
22.2 Clients must not solicit staff.
23. Data Protection
23.1 We comply with UK GDPR.
23.2 Data use is governed by our Privacy Policy.
24. Force Majeure
24.1 We are not liable for uncontrollable events.
25. Limitation of Liability
25.1 Liability is limited to fees paid in the previous 30 days.
25.2 No liability for indirect or economic loss.
26. Governing Law
26.1 Governed by English law.
27. Entire Agreement
27.1 These Terms constitute the entire agreement.
27.2 Variations must be in writing.
